DURBAN ENTREPRENEURS CLUB – MEMBERSHIP TERMS and CONDITIONS
1.1 “MEMBER” means the person or company who is named on the Durban Entrepreneurs Club Membership form and for whom, following acceptance by the Durban Entrepreneurs Club (‘the Club’), the Club has agreed to provide services to, in accordance with these terms.
1.2 “MEMBERSHIP” means the period of time when a Member is contracted to the Club.
1.3 “SPECIFIED SERVICE” means the service provided by the Club and set out in the literature provided with these terms.
1.4 “CLUB” means the Durban Entrepreneurs Club whose registered office is at 40 Newport Avenue, Glenashley, Durban, 4051.
1.5 “MEMBERSHIP FEE” means the payment made by the Member to the Club to cover one (1) year membership from the date of payment for the membership to the club.
1.7 “CONTRACT TERM” means the 12 month period from the date when the Full Member makes payment for the membership to the club.
The objective of the Durban Entrepreneurs Club is to provide a semi-formal platform in order to build relationships and share networks, encourage and assist entrepreneurs and promote local business
- Agreement to these Terms
When applying for membership of the Club, the Member confirms that it has read and agrees to be bound by these Club Terms and Conditions. Upon membership being accepted, the Member will be provided with its own copy of the Club’s Terms and Conditions and they should be retained for future reference.
- Supply of the Specified Service
3.1 The Club shall provide the Specified Service to the Member subject to these terms.
3.2 The Club shall use its reasonable endeavours to provide the Specified Service within the advertised times.
3.3 The Club may at any time without notifying the Member make any changes to the Specified Service which are necessary to comply with any safety or other statutory requirements and/or which do not materially affect the nature or quality of the Specified Service.
3.4 Any other changes or additions to the Specified Service or to these Terms will be notified to the Member in writing by the Club in advance of those changes taking place.
- Contract Term and Payments
4.1 Membership of the Club is for an initial Contract Term of 12 months from the date of payment of the membership fee.
4.2 Following the expiry of the Contract Term, membership will be up for renewal and a payment of the new membership amount will be required by the club.
4.3 All charges quoted to the Member for the provision of the Specified Service are exclusive of VAT, for which the Member is liable at the prevailing rate, and these must be paid without deduction or set-off.
4.5 If overdue Monthly Payments are not received within 14 days of the Club requesting them, debt collection proceedings may be commenced and any fees incurred charged to the Member.
5.1 The Club warrants to the Member that the Specified Service will be provided using reasonable care and skill as far as reasonably possible. Where the Club uses the service of any agent or third party (such as speakers at events) the Club does not give any warranty, guarantee or indemnity in that respect.
5.2 The Club shall not be liable to the Member by reason of any representation for any loss of profit or any indirect, special or consequential loss, damage costs, expenses or other claims (whether caused by the negligence of the Club or its agents or otherwise) which arise out of or in connection with the provision of the Specified Service.
5.3 The Club shall not be liable to the Member or be deemed to be in breach of these Terms by reason of any delay in performing, or any failure to perform, any of the Club’s obligations in relation to the Specified Service, if the delay or failure is due to any cause beyond the Club’s reasonable control, and time shall not be of the essence.
6.1 A person may join in their personal capacity, known as an Individual Membership or may join as part of a corporate or company, known as a Corporate Membership.
6.2 An Individual Membership costs R999 and is valid for a period of one year from date of joining until the following year, for a period of 12 months. E.g. John Smith joins on 03 April 2016, his membership will expire 12 months later and will be up for renewal at the prevailing membership rate.
6.3 A Corporate Membership costs R2600 and is valid for a period of one year from date of joining until the following year, for a period of 12 months. The Corporate membership entitles 3 employees from the company registered to attend any meetings for that year E.g. ABC holdings join on 03 April 2016, the company membership will expire 12 months later and will be up for renewal at the prevailing membership rate.
6.4 A non-member may attend the Durban Entrepreneurs event at a fee determined by the chairperson of the Durban Entrepreneurs Club.
6.5 As a Member of the Club, the Member agrees to conduct themselves in a professional and business-like manner, treating other members with respect at all times. If the Club should receive a complaint about any Member’s behaviour, it reserves the right to suspend membership. Such complaints would constitute a breach of these terms.
6.6 The Club wishes for members to receive a return on their investment many times over through full involvement in the Specified Services, however, the Member retains responsibility for making the very most of the many opportunities membership offers.
6.7 ‘Expectations of Membership’ must have been set and agreed with the Club at the time of joining.
6.8 Any request for a refund must be submitted in writing to the Durban Entrepreneurs Club committee for consideration, documenting the reasons for refund based on lack of knowledge, capability or value given by guest speakers
6.9 Membership of the Club is at the sole discretion of the Club and it reserves the right to refuse membership.
6.10 Membership shall be open to anyone who has an interest in assisting the Club to achieve its aim and is willing to adhere to the rules of the Club.
6.11 Where it is considered membership would be detrimental to the aims of the activities of the Club, the Management Committee shall have the power to refuse membership, or may terminate or suspend the membership of any member by resolution passed at a committee meeting. Members shall have the right to appeal via an independent adjudicator determined by mutual agreement of the management committee.
- Termination of Membership
7.1 The Member may terminate their membership at any time, however, in doing so will not be entitled to a refund of prepaid fees. The member forfeits attendance from date of receipt of written termination, period of the Contract Term.
7.2 Upon termination of this contract for whatever reason all sums owed by the Member to the Club shall become due and payable by the Member with immediate effect.
7.3 The Club may cancel the Contract or suspend Membership, including access to its website and attendance at events and, if Monthly Payments are still due, they will become immediately payable notwithstanding any previous agreement or terms.
7.4 Where it is considered membership would be detrimental to the aims of the activities of the Club, the Management Committee shall have the power to refuse membership, or may terminate or suspend the membership of any member by resolution passed at a committee meeting. Members shall have the right to appeal via an independent adjudicator determined by mutual agreement of the management committee.
8.1 Notices to the Club are to be sent to the registered official email added viz. firstname.lastname@example.org . Notices to the Member will be sent to the address on the application form, unless the Club is otherwise informed in writing.
8.2 No failure or delay by either party in exercising any of its rights under these terms shall be deemed to be a waiver of that right, and no waiver by either party of any breach of these terms by the other shall be considered as a waiver of any subsequent breach of the same or any other provision.
8.3 If any provision of these Terms is held by any court or other competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms and the remainder of the provision in question shall not be affected.
8.4 South African law shall apply to this agreement, and the parties agree to submit to the jurisdiction of the South African courts.
8.8 The Club understands that email marketing is a useful tool, however, members are politely asked to refrain from spamming other members with marketing material unless permission has been obtained.
8.9 The member agrees that the email address which was submitted in their membership form be added to the club’s database for marketing and informative purposes.
8.10 The club shall send correspondence via that noted email address from the club and its associated networking event partner, Business Growth SA.
8.11 The club will never sell, rent, or give away contact details, including email addresses and mobile numbers.
8.12 The option to sponsor a meeting is available to members and non-members. There are three (3) options and they are as follows:
- Event Sponsorship – R10,000
- Annual Sponsorship – R60,000
- Title Sponsorship – R100,000 per annum
Includes: Logo on all advertising leading up to the event, full branding at the event including hand-outs, 5 – 10 minute opportunity to open the event highlighting your value to entrepreneurs, full branding on follow- up email to attendees summarising learning points from guest speaker.
Includes all the above, covering all 10 events for the year, and branded emails for all correspondence to the Durban Entrepreneurs Club database.
